Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a legal agreement between you and Green Square Enterprise LLC (“Company,” “we,” “us”), a New York limited liability company, governing your use of the ShelfFlow platform and related services (“Service”).

By creating an account or using ShelfFlow, you agree to these Terms. If you are using ShelfFlow on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. The Service

ShelfFlow is a multi-tenant CRM platform designed for consumer packaged goods (CPG) brands to manage retail relationships, sales pipelines, and integrations with third-party marketplaces and tools.

3. Accounts

You must provide a valid email address to create an account. You are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us immediately at hello@cirrus9candy.com if you suspect unauthorized access.

Accounts are organized into teams. The team owner controls team membership, integrations, and settings. Team members have access to all CRM data within their team.

4. Subscription and Payment

ShelfFlow offers both free and paid subscription plans. Paid plans are billed on a recurring subscription basis through Stripe. The team owner is responsible for managing the subscription and payment method.

We may change pricing with 30 days' notice. If you do not agree with a pricing change, you may cancel your subscription before the new pricing takes effect.

5. Your Data

You retain ownership of all data you enter into ShelfFlow, including retailer information, contacts, activities, and notes (“Your Data”). We do not claim any ownership rights over Your Data.

You grant us a limited license to store, process, and display Your Data solely to provide the Service. This license ends when you delete Your Data or close your account.

You are responsible for ensuring you have the right to store any data you enter, including contact information for retailers and any data synced from third-party integrations.

6. Third-Party Integrations

ShelfFlow allows you to connect third-party services such as Faire, Airgoods, Shopify, and Gmail. When you connect an integration:

• You authorize us to access and sync data from that service on your behalf
• You are responsible for complying with the third party's terms of service
• We are not responsible for the availability, accuracy, or conduct of third-party services
• You can disconnect any integration at any time through the Integrations page

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to other teams' data
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam or unsolicited communications through connected integrations
• Resell or sublicense access to the Service without our written consent

8. Service Availability

We strive to keep ShelfFlow available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any downtime or data sync delays.

9. Limitation of Liability

To the fullest extent permitted by law, Green Square Enterprise LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms or if required by law.

Upon termination, your right to use the Service ends immediately. We will delete Your Data within 30 days of account closure, unless retention is required by law.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through a notice in the application at least 30 days before the changes take effect. Continued use of ShelfFlow after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in the State of New York.
